Terms of service

These Terms of Service govern your use of tnaado.com, the TNAADO Labs platform, and the studio applications we operate. By accessing or using any of them you agree to these terms. If you are using the service on behalf of an organization, you confirm that you have authority to bind that organization and “you” means that organization.

01Acceptance of these terms

By creating an account, clicking a button that signals acceptance, or otherwise using the Services, you agree to these terms and to any additional policies referenced within them (including our Privacy Policy and Cookie Policy). If you do not agree, do not use the Services.

02Definitions

“TNAADO Labs”, “we”, “us”, and “the studio” mean TNAADO Labs, Inc., a Delaware corporation with a principal office at 777 Brickell Avenue, Suite 500, Miami, FL 33131.

“Platform” means the TNAADO Labs hosted platform, including the customer portal at portal.tnaado.com, the APIs, and the underlying infrastructure.

“Services” means the Platform, the Apps, and the marketing site at tnaado.com, taken together or individually.

“Apps” means the consumer and professional applications the studio operates, including TNAADO Connect, Mr. Syn, Gesture Beats, and Wildin, along with any future application we release under the TNAADO Labs brand.

“User”, “you”, or “your” means the individual accessing or using the Services.

“Organization” means a company, partnership, association, or other legal entity on whose behalf a User accesses the Services, including any sub-organization (team, workspace, or department) configured within that entity.

03Accounts and eligibility

You must be at least 13 years old to create an account, and at least 18 (or the age of majority in your jurisdiction) to enter into a paid plan. You agree to provide accurate information at sign-up, keep your credentials private, and notify us promptly at [email protected] if you suspect unauthorized access.

You are responsible for activity conducted under your account, and for the actions of users you invite to your Organization. We may suspend or close an account that is being used in a way that puts the Services, other customers, or us in legal or operational jeopardy, and we will tell you why when we do.

04Acceptable use

You agree not to use the Services to break the law, harass or defame another person, transmit malware, spam, scrape at a rate that degrades the Services for others, probe for vulnerabilities outside of our vulnerability-disclosure programme, infringe another person's rights, impersonate another user, or circumvent usage limits. You also agree not to use the Services to train a machine-learning model on another customer's content without their consent.

05Subscriptions and billing

TNAADO Connect is a paid product. A new account has three days to look around. After those three days the account is gated: to carry on using it you have to start a subscription. Which of the two paragraphs below applies to you depends on where you started that subscription.

Paid plans bought on the web charge in advance on a monthly or annual cadence in the currency shown at checkout. Web billing is processed by Stripe, Inc. as our third-party payment processor; your card details are handled by Stripe under its own terms and never stored on TNAADO Labs infrastructure. Taxes are added where we are required to collect them.

Purchases made inside our iOS applications are Apple in-app purchases, not Stripe transactions. TNAADO Connect Pro is offered as an auto-renewing subscription on a monthly plan at $4.99 USD per month and an annual plan at $44.99 USD per year, each with a 14-day free trial. Payment is charged to your Apple Account at confirmation of purchase. The subscription renews automatically unless auto-renew is turned off at least 24 hours before the end of the current period, and your Apple Account is charged for renewal within 24 hours before the period ends. You can manage or cancel the subscription, and turn off auto-renew, in your Apple Account subscription settings at any time after purchase. If you take a free trial, any unused portion of it is forfeited when you buy a subscription covering the same period. Refunds for Apple in-app purchases are handled by Apple under its own terms, not by TNAADO Labs. Inside the app, Apple's in-app purchase is the only way a subscription is ever sold.

We will notify you before a price change takes effect. A subscription billed by Stripe can be cancelled at any time from the web portal; a subscription bought through Apple is cancelled in your Apple Account subscription settings, as set out above. Either way your access runs to the end of the period you have already paid for. We do not issue partial refunds except where required by law or at the studio's discretion when the Services were materially unavailable for an extended period.

06Intellectual property

The Platform, the Apps, the marketing site, and the software, designs, brand marks, and copy behind them are the property of TNAADO Labs or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for their intended purpose while your account is in good standing. You do not acquire any other right in our intellectual property.

You retain ownership of the content you upload, create, or generate through the Services (“Your Content”). You grant us the limited, worldwide, royalty-free licence necessary to host Your Content, display it back to you and the people you share it with, and process it in the ways you configure, and no more. We do not claim any other right over Your Content, and we will not use Your Content to train a model for ourselves or any third party. When you delete Your Content, we delete it, subject to the retention rules in our Privacy Policy.

07Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access if you materially breach these terms and do not cure the breach within fifteen days of our written notice, or immediately if the breach is of the acceptable-use, payment, or security clauses. On termination, we stop hosting Your Content within thirty days unless the law requires us to keep it longer, and any accrued payment obligations survive.

08Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment. We do not warrant that the Services will be uninterrupted, error-free, or that defects will be corrected on any specific timetable. Some jurisdictions do not allow the exclusion of certain warranties; in that case, the exclusion applies to the maximum extent permitted by law.

09Limitation of liability

To the maximum extent permitted by law, TNAADO Labs and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Services, even if we have been advised of the possibility. Our aggregate liability for any claim arising out of these terms or the Services is capped at the greater of (a) the total amount you paid us in the twelve months preceding the claim, or (b) one hundred US dollars. Nothing in this clause limits a liability that cannot legally be limited.

10Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You and TNAADO Labs consent to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware for any dispute arising out of or relating to these terms or the Services, except that either party may seek injunctive relief in any court of competent jurisdiction. Nothing in this clause limits your rights under the mandatory consumer-protection laws of the place you live.

11Changes to these terms

We may update these terms from time to time. If the change is material we will post a notice on this page and, for account holders, send a short email at least fourteen days before the change takes effect. Your continued use of the Services after the effective date of a change constitutes acceptance of the updated terms.
